The Client and The Company agree as follows:
1. The Services.
Scope of Services:
The Company agrees to provide marketing campaigns and exclusive lead generation services focused on delivering qualified listing leads directly to the Client.
**Listing Lead Criteria**
To qualify as a listing lead, each lead will meet the following criteria:
- The lead expresses an intent to sell their home within the next 12 months.
- The lead is not currently working with another real estate agent.
- The lead is within the service area (zip codes) that the Client provided
Leads that meet these criteria will be billed to the Client per lead. Leads will be forwarded via text and email
2. Client Requirements.
The client agrees to provide the following items in order to provide the services listed in Section 1:
A. Provide required intake info requested through on-boarding call or survey.
B. Provide any updated card or bank information if a change or failed charge occurs.
3. Lead Delivery Management
The Client may **pause** and **resume** lead delivery at any time:
- **Pause and Resume**: The Client has the flexibility to pause lead delivery and may resume at their discretion. To pause or resume, the Client must provide digital notification to The Company (via the lead adjustment web page)
4. Credit Policy for Unqualified Leads
LEAD CREDIT POLICY: The "Client" can request for a lead credit if the lead was not qualified. If any lead does not meet the qualifying criteria as listed in **Section 1**, The Company will review the request sent in by The "Client"
Lead Review Process: Clients may request a review of a lead if they believe it does not meet the specified qualification standards. Please note a spreadsheet must be sent to [email protected] before the end of the same month in which that unqualified lead was provided before 5:00pm Eastern Time Zone. If the spreadsheet is not submitted before the end of month at 5:00pm Eastern Time Zone, we are no longer obligated to credit leads for that previous month. Failure to submit the lead credit request within the stipulated time frame will result in the possible forfeiture of the eligibility for a lead credit.
- **Credit Terms**: Credits will be applied toward future lead deliveries, in the circumstance that The Client received a lead which did not meet the criteria listed in section 1. The Client acknowledges that The Company invests significant resources in lead generation and data, and as such, refunds are not available. Lead credits will be applied at the beginning of the following month of when the original unqualified lead was transferred to The Client.
5. Compensation and Payment.
A. Set up: For the Services described in Section 1, Client will pay $0 in setup fees. Set up can take varying lengths of time, but will usually take around 1-5 days (Min).
B. Ongoing Management: For the Services described in section 1, Client will pay to The Company a monthly retainer of $0 which covers ongoing management per campaign. Additionally a fixed transfer fee of $89 for an advisor to handle and transfer qualified leads. The $89 dollar fee will be per lead transfer you receive and will stay at this price for as long as you continue to work with us. This will be calculated and automatically deducted from your payment method on file.
6. Term.
This Agreement is effective upon signing and will continue on a monthly-basis. Either party may terminate this Agreement by providing written notice at least seven (7) days before the intended termination date. In the event of termination, any outstanding payments for leads delivered up to the termination date will be due immediately. Under no circumstances will The Company give refunds of the amount paid for the Services hereunder if either party decides to prematurely terminate. If Client chooses to terminate this agreement in writing, all monies owed to The Company will be due immediately and will be automatically charged to the Client’s payment method on file.
After 30 days of no contact from Client to The Company (Egen Media), The Company can assume that the Client is no longer in need of The Company’s services, and all unpaid fees will be due and collectable. Under no circumstances will The Company provide refunds of the amount paid for the Services listed in section 1. The Company will give no refunds to the Client if agreement is terminated by the Client. All purchases are non-refundable. I understand that per this agreement, I waive my right to dispute lead purchases with my bank or credit card company, as well as my right to file any form of "chargeback." In the event of needing to enforce the terms of this contract, any legal expenses incurred by Egen Media LLC will be paid by the client.
7. Interpretation and Enforcement.
The parties understand and agree that the construction and interpretation of this Agreement is governed by the laws of United States. In the event that either party must initiate legal action to enforce this Agreement, the Parties agree that the proper venue for such action shall at court in Illinois.
